Shareholder and Partnership Disputes
Disputes often arise in small and mid-size corporations, closely held corporations, and general and limited liability partnerships. Most of these disputes can be resolved among the shareholders or the partners with little, if any, assistance by counsel. Unfortunately, there are times when the help of an attorney is necessary. We have experience litigating corporate disputes both for and against small and large companies, including bringing and defending derivative actions when necessary. As with all types of litigation, we try to ascertain the underlying cause of the dispute at the outset of a case and seek, if possible, to resolve the dispute in the boardroom. Where litigation, arbitration or mediation is necessary, we work with our clients to formulate a winning strategy and act quickly and decisively to protect their interests.
We have litigated various shareholder and partnership disputes, including:

- Shareholder Derivative Lawsuits
- Breach of Fiduciary Duty/Loyalty Claims
- Corporate Misappropriation Claims
- Oppressive Conduct
- Demands for Corporate Dissolution
- Demands for Accounting
- Claims of Conversion
- Claims of Usurpation of Corporate Opportunity
